Terms of Service

These Terms of Service are a legal agreement between you and Grabians Connected LLP ("Company"), the operator of EchologHQ.

1. Definitions

"Agreement" means these Terms of Service. "Platform" means EchologHQ and its website, services, and features. "User Content" means any content you submit or generate, including text, graphics, and AI-generated content. "Account" means your account used to access the Platform. "Subscription" means a paid plan or service offering provided on a recurring basis.

2. Acceptance

By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree to this Agreement, you may not access or use the Platform. If you are using the Platform on behalf of an entity, you represent that you have the authority to bind that entity.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. The Platform is not intended for children under 13.

4. Account Registration

To access certain features, you must register for an Account. You agree to provide accurate, current, and complete information. You are responsible for safeguarding your credentials and for all activities that occur under your Account.

5. License Grant

Subject to your compliance with this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes.

6. Intellectual Property

All rights, title, and interest in and to the Platform, including all software, technology, design, text, graphics, and content, are owned by EchologHQ or its licensors. This Agreement does not convey any ownership rights to you.

7. User Content

You retain all rights to your User Content. By submitting User Content, you grant EchologHQ a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, and display your User Content solely to provide and improve the Platform.

8. Acceptable Use

You agree not to use the Platform to:

Upload or transmit any unlawful, infringing, or harmful content;
Disrupt, impair, or interfere with Platform functionality or security;
Attempt to gain unauthorized access to other accounts or systems.

9. AI-Generated Content

The Platform utilizes AI services (including Google Gemini) to generate content. AI-generated content may be inaccurate, misleading, or offensive. You are solely responsible for reviewing, editing, and verifying any AI-generated content before publishing or distribution.

10. Subscription, Fees, and Payment

Certain features require a paid Subscription. Fees and payment terms are described on our Pricing page. You authorize EchologHQ to charge your selected payment method for all fees and applicable taxes. All fees are non-refundable except as set forth in our Refund Policy or required by law.

11. Billing, Renewals, and Cancellations

Subscriptions automatically renew on a monthly or annual basis unless canceled at least 24 hours before the end of the current term. You may cancel through your Account settings. No refunds are granted for partial billing periods except as required by law.

12. Third-Party Services

The Platform may integrate with third-party services. Your use of such services is subject to their respective terms and privacy policies. EchologHQ is not responsible for third-party actions or content.

13. Feedback

If you provide feedback, suggestions, or ideas regarding the Platform, you grant EchologHQ a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Platform.

14. Indemnification

You agree to indemnify, defend, and hold harmless EchologHQ, its officers, directors, employees, and agents from any claim, loss, damage, or expense arising out of (a) your breach of this Agreement, (b) your violation of any law or third-party right, or (c) your User Content.

15. Disclaimers

The Platform is provided "as is" and "as available" without any warranties, express or implied. EchologHQ disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the fullest extent permitted by law, EchologHQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your access to or use of the Platform.

17. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of Karnataka, India, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Karnataka, India.

18. Severability

If any provision of this Agreement is held to be unenforceable, the remaining provisions will continue in full force and effect.

19. Assignment

You may not assign or transfer this Agreement or your rights hereunder without our prior written consent. EchologHQ may assign this Agreement at any time without notice.

20. Modifications to the Agreement

We may update this Agreement by posting updated terms on the Platform. Material changes will be communicated via email. Your continued use of the Platform after such changes constitutes acceptance of the updated Agreement.

21. Entire Agreement

This Agreement, together with our Privacy Policy and Refund Policy, constitutes the entire agreement between you and EchologHQ regarding the Platform and supersedes all prior agreements.
